VideoSynq Terms of Service

1. Eligibility

The Site and Service are intended for users aged 18 years and above. VideoSynq is a professional publishing platform. By accessing the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Use of the Site

• You agree to use the Site and Service only for lawful purposes.
• You must not attempt to interfere with the Site's security, infrastructure, or functionality.
• You must not use automated scripts, bots, or scraping tools to extract content without prior written permission.
• You must not upload or transmit harmful, malicious, or unauthorised code.
• You must not use the Service to generate or publish content that infringes third-party intellectual property rights, violates applicable law, or is otherwise prohibited.

3. Content Feeds and User-Submitted Material

In these Terms, "Customer Content" means content, materials, data, URLs, articles, documents, scripts, prompts, images, audio, video, or other materials that you submit to, provide through, or otherwise make available to the Service.

When you submit content feed URLs, RSS feeds, API endpoints, or source materials to the Service, you represent and warrant that you have the necessary rights, licences, or permissions to submit such content for AI processing and video generation. You are solely responsible for ensuring that your use of third-party content complies with applicable copyright law and the terms of any relevant content providers.

By submitting content to the Service, you grant RB Innovate LLP a non-exclusive, royalty-free, worldwide licence to access, reproduce, process, adapt, transform, transmit, and display that content solely as necessary to provide, maintain, secure, and operate the Service and to perform the functionality you request. This licence ends when the content is deleted from the Service, except to the extent continued processing or retention is required by law or reasonably necessary for backups, security, dispute resolution, or other legitimate business purposes. We do not claim ownership of Customer Content.

You are solely responsible for the content generated and published through your VideoSynq account. RB Innovate LLP does not review or pre-approve AI-generated videos prior to publishing and accepts no liability for content published via your configured channels.

4. Google Login

If you choose to sign in using Google, we receive the information required to create and authenticate your VideoSynq account, which may include your name and email address. We use this information for account identification and authentication purposes. You may revoke access at any time through your Google Account settings. Revoking access will disable your ability to log in to VideoSynq but will not automatically delete your account or associated data.

5. Privacy and Data Protection

Your use of the Service is also subject to our Privacy Policy, which explains how RB Innovate LLP collects, uses, stores, and protects personal data in connection with the Service. The Privacy Policy forms part of the terms governing your use of the Service.

6. Subscriptions and Billing

Access to certain features of the Service requires a paid subscription. By subscribing, you authorise RB Innovate LLP to charge the applicable fees to your chosen payment method on a recurring basis in accordance with your selected plan. Fees are non-refundable except where required by applicable law or expressly stated in the applicable plan or order. We reserve the right to modify pricing with reasonable notice.

Subscriptions automatically renew for successive billing periods unless cancelled before the applicable renewal date. You may cancel your subscription through the account or billing controls made available to you. Cancellation will normally take effect at the end of the current paid billing period unless otherwise stated.

If a payment fails or your subscription lapses, we may suspend or restrict access to your account and associated video channels until payment is resolved.

7. Account Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, use the Service unlawfully, create a security or operational risk, fail to pay applicable fees, or otherwise misuse the Service.

Where reasonably practicable, we will provide notice before suspension or termination, except where immediate action is necessary to protect the Service, other users, third parties, or to comply with applicable law. Termination or suspension does not affect rights or obligations that arose before the effective date of termination.

8. AI-Generated Content Disclaimer

Videos, scripts, images, audio, and other content generated through VideoSynq are produced using artificial intelligence and may contain inaccuracies, omissions, errors, unintended statements, or other unsuitable content. AI-generated output should not be treated as verified or authoritative information.

You are solely responsible for reviewing generated content before publishing it, including its factual accuracy, suitability, legality, copyright status, and compliance with the policies of any platform to which you publish it. Where you enable automated publishing, you remain responsible for the content published through your account.

RB Innovate LLP does not guarantee the accuracy, completeness, reliability, or fitness for a particular purpose of any AI-generated output.

9. Intellectual Property

All content on the Site, including text, graphics, branding, software, and platform logic, is owned by or licensed to RB Innovate LLP and is protected under applicable intellectual property laws. You may not reproduce, distribute, reverse-engineer, or modify Site or platform content without prior written consent.

VideoSynq-branded templates, AI anchor assets, and platform components remain the intellectual property of RB Innovate LLP. Your subscription grants you a limited, non-exclusive, non-transferable licence to use these assets solely within the Service.

10. Third-Party Platforms and Publishing

VideoSynq enables publishing to third-party platforms such as YouTube and social media channels. Your use of these platforms is governed by their own terms of service. RB Innovate LLP is not responsible for any actions taken by third-party platforms in relation to content published through the Service, including removal, demonetisation, or suspension of your accounts on those platforms.

11. Advertisements

The Site displays advertisements served by third parties, including Google AdSense. We are not responsible for the content of third-party advertisements or linked websites.

12. Service Availability and Changes

We may modify, update, suspend, or discontinue parts of the Service from time to time, including individual features, integrations, AI models, publishing capabilities, or supported platforms. We will make reasonable efforts to provide notice of material changes where practicable.

We do not guarantee that any particular feature, integration, AI model, publishing platform, or third-party service will remain available or supported indefinitely. The Service may occasionally be unavailable due to maintenance, technical issues, security incidents, or circumstances beyond our reasonable control.

13. Limitation of Liability

The Site and Service are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. RB Innovate LLP does not guarantee that the Service will be uninterrupted, error-free, or free from harmful components.

RB Innovate LLP shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or Service, including but not limited to loss of revenue, data, or business opportunities resulting from AI-generated content, channel publishing actions, or third-party platform decisions.

To the maximum extent permitted by applicable law, RB Innovate LLP's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees actually paid by you to RB Innovate LLP for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless RB Innovate LLP and its partners, employees, contractors, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from your use of the Service, your Customer Content, your violation of these Terms, your violation of applicable law or third-party rights, or content published through your account.

15. Changes to the Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by posting a prominent notice on the Site. The updated Terms will apply from their stated effective date. If you do not agree to the updated Terms, you should stop using the Service and, where applicable, close your account.

16. Events Beyond Our Control

We will not be responsible for delays, failures, or interruptions caused by circumstances beyond our reasonable control, including failures of telecommunications or internet services, cloud infrastructure, third-party APIs or platforms, natural disasters, government actions, cyber incidents, labour disputes, or other events that could not reasonably have been prevented or avoided.

17. Governing Law

These Terms are governed by the laws of India, including the Information Technology Act 2000 and all applicable rules and regulations thereunder. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
